1. Introduction

These Terms and Conditions ("Terms") govern all services provided by Tiger Horse Media (Thailand) Co., Ltd. ("Tiger Horse Media," "we," "us," or "our"), a company registered in Thailand, to any client, partner, or third party ("Client") who engages our services. By engaging Tiger Horse Media for any service — whether by signing a contract, purchase order, statement of work, or by providing written or electronic approval of a proposal — the Client agrees to be bound by these Terms.

2. Definitions

  • "Services" means any voiceover production, audio post-production, dubbing, video production, localization, translation, editing, colour grading, mixing, sound design, or any related services provided by Tiger Horse Media.

  • "Deliverables" means all final and intermediate outputs, files, recordings, edits, translations, masters, or other creative works produced by Tiger Horse Media under a given project.

  • "Project" means a specific scope of work agreed between Tiger Horse Media and the Client.

  • "Intellectual Property" or "IP" means all rights in copyright, trademarks, patents, design rights, neighbouring rights, and any related rights, whether registered or unregistered.

3. Scope of Services

Tiger Horse Media will provide Services as described in a signed contract, statement of work (SOW), or written proposal accepted by the Client. Any changes to the agreed scope must be submitted in writing and may result in revised fees, timelines, or both. Verbal instructions or requests communicated outside of written documentation will not constitute a change to the agreed scope unless subsequently confirmed in writing by both parties.

4. Intellectual Property and Usage Rights

4.1 Retention of Rights Until Full Payment

Tiger Horse Media retains full ownership of all copyright, intellectual property rights, and usage rights in all Deliverables — including but not limited to final edits, masters, audio mixes, dubbed content, translated scripts, voiceover recordings, and video productions — until the Client has made payment in full of all outstanding invoices related to the relevant Project.

Until payment is received in full, the Client has no right to publish, broadcast, distribute, reproduce, license, sub-license, sell, or otherwise exploit any Deliverables in any medium, format, territory, or platform, whether commercially or non-commercially. Any use of Deliverables prior to full payment constitutes an infringement of Tiger Horse Media's intellectual property rights.

4.2 Transfer of Rights Upon Full Payment

Upon receipt of full payment for all outstanding invoices relating to a Project, Tiger Horse Media shall assign or license usage rights to the Client as specified in the relevant contract or SOW. In the absence of a specific written agreement, Tiger Horse Media grants the Client a non-exclusive, royalty-free licence to use the Deliverables for the purpose for which they were produced, in the agreed territory and media platforms only.

4.3 Moral Rights

Tiger Horse Media and its contributing artists reserve all moral rights in Deliverables as provided under applicable law, including the right of attribution. The Client shall not falsely attribute authorship of any Deliverables.

4.4 Client-Supplied Materials

The Client warrants that any materials, assets, scripts, footage, audio, trademarks, or third-party content supplied to Tiger Horse Media for use in a Project do not infringe any third-party intellectual property rights. The Client indemnifies Tiger Horse Media against any claim, loss, or liability arising from Client-supplied materials.

4.5 Portfolio and Showreel Rights

Tiger Horse Media reserves the right to use any Deliverables for internal portfolio, showreel, award submission, case study, and promotional purposes, unless the Client expressly requests confidentiality in writing prior to the commencement of a Project.

5. Payment Terms

5.1 Invoicing

Tiger Horse Media will issue invoices in accordance with the payment schedule agreed in the relevant contract or SOW. Where no specific schedule is agreed, invoices are due within 30 days of the invoice date unless otherwise stated on the invoice.

5.2 Default Interest

If payment is not received by the due date stated on an invoice, Tiger Horse Media reserves the right to charge default interest on the outstanding amount. For clients domiciled in Thailand or subject to Thai law, interest shall accrue at the statutory default rate under Section 224 of the Thai Civil and Commercial Code (currently 5% per annum) from the due date until the date of full payment. For international clients, interest shall accrue at 8% per annum from the due date, or the maximum rate permitted by applicable law, whichever is lower.

5.3 Withholding and Suspension of Deliverables

Tiger Horse Media reserves the right to withhold delivery of any Deliverables — including final files, masters, and project data — until all outstanding invoices have been settled in full.

5.4 Disputed Invoices

Any dispute regarding an invoice must be raised in writing within 7 days of the invoice date. Failure to raise a dispute within this period constitutes acceptance of the invoice and the amount stated therein.

5.5 Taxes and Withholding

Clients domiciled in Thailand are advised that Thai withholding tax obligations may apply. It is the Client's responsibility to comply with all applicable tax obligations. Any withholding tax deducted by the Client must be supported by a withholding tax certificate (หนังสือรับรองการหักภาษี ณ ที่จ่าย) issued to Tiger Horse Media at the time of payment.

6. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with a Project, and not to disclose such information to third parties without prior written consent. This obligation shall survive termination of the engagement for a period of three (3) years. Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulation.

7. Warranties and Representations

Tiger Horse Media warrants that:

  • Services will be performed with reasonable skill and care in accordance with professional industry standards;

  • Deliverables, to the best of Tiger Horse Media's knowledge, will not infringe any third-party intellectual property rights, except where such infringement arises from Client-supplied materials.

The Client warrants that:

  • It has full legal authority to enter into an agreement with Tiger Horse Media;

  • All materials, instructions, and content provided to Tiger Horse Media are lawful and do not infringe any applicable law or third-party rights.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Tiger Horse Media's total aggregate liability to the Client under or in connection with any Project shall not exceed the total fees paid by the Client to Tiger Horse Media for that specific Project in the twelve (12) months preceding the claim.

Tiger Horse Media shall not be liable for any indirect, consequential, special, incidental, or punitive damages, including loss of profit, loss of revenue, loss of data, or loss of business opportunity, even if Tiger Horse Media has been advised of the possibility of such damages.

9. Force Majeure

Tiger Horse Media shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, pandemic, government action, power failure, or internet service disruption. Tiger Horse Media will notify the Client as soon as reasonably practicable and will endeavour to resume Services at the earliest opportunity.

10. Termination

10.1 Termination by Client

The Client may terminate a Project by providing written notice. Any work completed up to the date of termination, including preparatory work, resource allocation, and third-party costs already committed, shall be invoiced and payable in full by the Client within 14 days of the termination notice.

10.2 Termination by Tiger Horse Media

Tiger Horse Media reserves the right to terminate a Project immediately upon written notice if the Client fails to pay any invoice by its due date, breaches any material term of these Terms, or engages in conduct that Tiger Horse Media reasonably determines is harmful to its business or reputation.

Upon termination, Sections 4 (Intellectual Property), 5 (Payment Terms), 6 (Confidentiality), 8 (Limitation of Liability), and 13 (Governing Law) shall survive.

11. Third-Party Services and Contractors

Tiger Horse Media may engage third-party contractors, voice artists, translators, studios, or suppliers in the delivery of Services. Tiger Horse Media will manage such relationships on the Client's behalf and remains the Client's single point of accountability. Tiger Horse Media is not liable for delays caused by third-party contractors where Tiger Horse Media has exercised reasonable diligence in their selection and management.

12. Dispute Resolution

In the event of a dispute arising from or in connection with these Terms or any Project, both parties agree to first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice of the dispute. If the dispute cannot be resolved by negotiation, either party may submit the dispute to mediation before resorting to litigation or arbitration.

For Clients domiciled in Thailand, any unresolved dispute shall be subject to the exclusive jurisdiction of the Thai Courts and governed by Thai law. For international Clients, unless an alternative forum is specified in a signed contract, disputes shall be referred to arbitration under the Rules of the Thai Arbitration Institute (TAI) or another mutually agreed international arbitral body, conducted in English.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand, including the Thai Civil and Commercial Code (ประมวลกฎหมายแพ่งและพาณิชย์), the Copyright Act B.E. 2537 (1994) and its amendments, and all applicable Thai legislation governing business transactions and intellectual property. For international transactions, where Thai law conflicts with a mandatory provision of the Client's domicile jurisdiction, the parties will negotiate in good faith to resolve the conflict.

14. Entire Agreement

These Terms, together with any signed contract, SOW, or written proposal accepted by the Client, constitute the entire agreement between the parties and supersede all prior representations, discussions, and agreements relating to the subject matter herein. In the event of any conflict between these Terms and a signed contract or SOW, the signed contract or SOW shall take precedence.

15. Amendments

Tiger Horse Media reserves the right to update these Terms at any time. The current version will always be published on this website with the effective date noted at the top. Continued engagement with Tiger Horse Media after any update constitutes acceptance of the revised Terms.
